These terms govern the use of the goldenkeypos.com website and the SimplePOS point-of-sale system supplied by GOLDEN KEY TPS (“we”, “us”). Using either means accepting them.

1. What we supply

SimplePOS is a point-of-sale system: an Android POS application, a server and an administrator website. Hardware — tablets, card terminals, receipt printers and cash drawers — may be supplied separately or bought elsewhere. We are not the manufacturer of that hardware and its own warranty applies to it.

2. Accounts and keys

• You are responsible for keeping administrator passwords and POS keys confidential, and for what is done with them.
• Each POS carries its own key, bound to one installation. Moving a key to another tablet is done deliberately from the POS's own settings; it is not something to do casually, because it stops the previous tablet selling.
• Tell us at once if you believe a key or a password has been exposed. Any key can be revoked on its own.

3. Card payments

• Card payments are authorised by your card terminal and your own payment processor. We are not a payment processor, we do not hold funds, and we are not party to your merchant agreement.
• SimplePOS records what the terminal reports. Where the terminal charges more than the order total — a tip, a tax or a surcharge it added itself — the amount actually taken is recorded alongside the order value.
• There is no way to enter an approval by hand, by design. A payment the terminal did not approve cannot be recorded as a sale.
• Settlement and chargebacks are between you, your processor and the card schemes.

4. Your data

The transaction and customer records your POS terminals create are yours. We hold them on your behalf and do not use them for our own purposes. You may export them or ask for them at any time while your account is open. What we do with information is set out in the Privacy Policy.

5. Your obligations to your own customers

Where you record a customer’s phone number or their consent to receive text messages, you are responsible for obtaining that consent lawfully and for honouring a withdrawal of it. You must not use the system to send messages to anyone who has not agreed to receive them. The SMS Terms page describes the consent our own programs rely on.

6. Availability

The POS is built to keep selling when the network is down and to upload afterwards, but no system is guaranteed to be available at all times. Server maintenance is notified in advance where it is planned. We are not liable for a loss arising from an interruption to the network, to power, to your card processor, or to hardware we did not supply.

7. Acceptable use

• Do not attempt to reach another shop’s data, or to defeat the separation between shops.
• Do not probe, scan or load-test the service without written permission.
• Do not use the system for anything unlawful, or to sell what you are not permitted to sell.
• Do not redistribute, decompile or resell the software without written permission.

8. Fees

Fees, the term and the notice period are set out in the order or quote you accept. Nothing on this website charges anything by itself; submitting a form on it creates no obligation on either side.

9. Ending it

Either side may end the agreement on the notice set out in the order. On termination we will make your data available for export for 30 days, after which it is deleted subject to the retention periods in the Privacy Policy. We may suspend an account immediately for non-payment or for a breach of section 7, having told you why.

10. Warranty and liability

We supply the software with reasonable skill and care. Beyond that, and to the fullest extent the law allows, it is supplied as is without further warranty. Neither side is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill. Our total liability in any twelve-month period is limited to the fees paid in that period. Nothing here limits liability that cannot lawfully be limited.

11. Changes

We may update these terms. The date at the top is when they last changed, and material changes are notified before they take effect.

12. Governing law

These terms are governed by the laws of the State of Georgia, and the courts of that state have exclusive jurisdiction.
